AACTIVATED RX Founders Round: Terms and Conditions

1. Overview

The AACTIVATED RX Founders Round offers two one-time options, the Product Founder ($1,000) and the Founder ($3,000), and closes at 11:59 p.m. Pacific Time on November 15, 2026. Both options include $1,000 in AACTIVATED RX retail products.

These Terms and Conditions (the "Terms") are an agreement between you ("Participant") and AACTIVATED, LLC, a California limited liability company doing business as AACTIVATED RX ("AACTIVATED RX," "we," "us"). By completing your purchase and e-signing these Terms, you agree to them.

2. The two Founder options

Both options include $1,000 in retail products; only the Founder option adds a share of the Founders Bonus Pool.

Retail product credit. Each option comes with a $1,000 retail product credit, valued at AACTIVATED RX's published retail prices on the date of redemption. The credit:

• applies only to non-prescription retail products in the AACTIVATED RX retail catalog, not to prescriptions, telehealth consultations, memberships, kits or shipping;
• may be redeemed in one or more orders within 12 months of purchase, after which any unused balance expires;
• has no cash value and cannot be transferred, resold or exchanged for cash; and
• covers only products available in your state, subject to stock on hand.

3. Founders Bonus Pool ($3,000 Founder only)

Five percent of AACTIVATED RX's company sales during a 12-month window funds a pool that is split equally among all Founders.

1. Seats. No more than 50 Founder seats will be sold. Seats are numbered in the order payment clears. The Round closes when all 50 seats are sold or on November 15, 2026, whichever comes first.
2. Bonus window. The pool runs for 12 calendar months, from December 1, 2026 through November 30, 2027.
3. Sales basis. "Company sales" means AACTIVATED RX's net sales in the window: the product and membership subtotal collected after discounts, refunds and chargebacks, before shipping and tax. Sales collected and paid by third parties (such as pharmacies or our network platform) count only to the extent of the amount AACTIVATED RX actually receives.
4. Calculation. Your share = company sales in the window × 5% ÷ the number of Founder seats sold. If fewer than 50 seats are sold, each share is larger.
5. Payment. Shares are paid monthly, by the 15th of the following month, for each month of the window, with a statement showing that month's sales basis and the split.
6. No guaranteed amount. The pool depends entirely on future company sales, which may be low or zero. Any examples AACTIVATED RX has shown are illustrative only. A Founder may receive less than $3,000, or nothing, from the pool.
7. No ownership. A Founder seat does not give you equity, membership interest, voting rights, control, or any ownership in AACTIVATED, LLC, and it does not continue after the window ends.
8. Taxes. Pool payments may be taxable income to you. You will provide a completed Form W-9 before your first payment, and AACTIVATED RX will issue tax forms as required by law.

4. Referring rep

The AACTIVATED RX rep who refers you earns a Starter Bonus on your purchase, and the purchase counts toward that rep's personal volume but not toward any team override.

• Starter Bonus. The referring rep earns the Founders Round Starter Bonus for each Product Founder or Founder purchase they personally refer, once payment clears and any cancellation period has passed.
• Personal volume. The full purchase price ($1,000 or $3,000) counts toward the referring rep's personal monthly sales volume for tier qualification in the month payment clears.
• No overrides. Founders Round purchases are excluded from team override calculations at every level (Level 1, Level 2 and Level 3), from team-leader group percentages, and from the Quarterly Premier Pool.
• One referring rep. Each purchase is credited to one rep only, the rep recorded at intake. A refunded or charged-back purchase reverses the Starter Bonus and the volume credit.
• Your choice. You are never required to become a rep, recruit anyone, or buy anything further to keep your Founder benefits.

5. Purchase, eligibility and cancellation

You lock in your option by completing the GoHighLevel intake, e-signing these Terms, and paying in full.

• Eligibility. You must be at least 18 years old and a resident of the United States. AACTIVATED RX may decline any application.
• How to buy. (1) Choose Product Founder or Founder, (2) complete the intake and e-sign, (3) pay in full, and (4) receive written confirmation. Founders also receive their seat number and bonus-window dates.
• When your position is secured. Only when payment clears. Founder seats that are not yet paid are not held.
• Cancellation. You may cancel for a full refund within 3 business days of payment if you have not redeemed any of your retail product credit. After that, or once any product has been redeemed, the purchase is non-refundable, except where the law requires otherwise.
• If the Round does not proceed. If AACTIVATED RX cancels the Round or a Founder seat for any reason other than a breach of these Terms, it will refund the unredeemed amount you paid.
• Transfer. Your option, seat and product credit are personal to you and cannot be sold or transferred without our written consent.
• Prescriptions are separate. These options do not include prescriptions, telehealth consultations or medical services. Those are separate transactions with licensed clinicians and pharmacies.

6. Disclaimers and general terms

Nothing in the Founders Round guarantees any income, and these Terms are the entire agreement for your option.

• No earnings guarantee. All sales figures, growth targets and pool examples are illustrative, not predictions or promises.
• Product use. Retail products are sold for the uses stated on their labels. AACTIVATED RX makes no claim that any product diagnoses, treats, cures or prevents any disease. Talk to a licensed healthcare provider before starting any product.
• Compliance changes. AACTIVATED RX may change or end any part of the Round if required by law or by a regulator. If it does, it will notify you in writing and refund the unredeemed amount you paid for any benefit it can no longer provide.
• Limitation of liability. AACTIVATED RX's total liability under these Terms will not exceed the amount you paid for your option.
• Governing law. These Terms are governed by California law. Disputes will be heard in the state or federal courts serving Riverside County, California.
• Entire agreement. These Terms, your intake and any membership agreement you sign are the whole agreement for the Founders Round. A change is valid only in writing signed by AACTIVATED RX.

Acceptance. By e-signing at intake and completing payment, you confirm that you have read and understand these Terms, that no one promised you any amount of income, and that you agree to be bound by them.
